Ealing CC 2023 AGM

Ealing CC 2023 AGM

Louise Chippendale10 Mar 2023 - 16:17

on Tuesday 28th March 2023

Ealing Cricket Club's AGM will be held at 8.00 p.m. on Tuesday 28th March 2023 in the Tom Entwistle Room in the Pavilion at Corfton Road.

All members are invited to attend the AGM. In addition to the formal business set out in the Notice of the meeting, the AGM will provide a forum for members to ask questions of the Trustees regarding matters pertaining to the running of Ealing Cricket Club. It would be helpful to have advance notice of any questions so that full answers at the meeting can be provided.

The Notice of the 2023 Annual General Meeting (‘2023 AGM’) is posted on the Club’s website, www.ealingcc.co.uk

It is hoped that members will be able to attend the 2023 AGM, but, if members are unable to attend and would like to vote, they can to do so by appointing a proxy. To do this, members need to download and complete a Proxy Form, which can also be found on the Club’s website. Please note that, in order for the proxy to be valid, the completed Proxy Form must be returned to James Grigg at the Club’s address or by email to james.grigg@ealingcc.co.uk, in either case no later than 48 hours prior to the meeting.

Financial Results

One of the main items on the agenda of the meeting is to review the Trustees Annual Report for the year ended 30 September 2022, which includes the unaudited financial statements of the Club for that period. A copy of the Trustees Annual Report for 2021/22 is available on the Club’s website.

There are also uploaded three additional documents to the Club’s website:

1. The financial statements for our subsidiary, Ealing Cricket & Social Club Limited (‘ECSC’) for the year ended 30 September 2022 - ECSC carries out all our non cricket related commercial activities

2. The financial statements for our subsidiary, Premier Cricket Coaching Ltd (PCC) - for the year ended 30 September 2022 - PCC now undertakes all the coaching activities run at the Club, including the Summer and Winter holiday courses, the Summer Sunday Coaching club and our comprehensive winter training programme. PCC also now provides coaches for all the Club’s own coaching activities, including our Boys and Girls Academy activities.

3 The report from the Hon. Treasurer summarising the results of all three companies and providing some commentary on the highlights of the year from a financial perspective.

Trustees

The 2021 AGM saw the end of an era with the retirement of John Poore who had been President of Ealing Cricket Club since 1996 and had overseen an unprecedented period of success and development at the Club. John’s retirement led to a re-consideration by the Trustees of the structure of the Board of Trustees. And a number of changes were approved at the 2021 AGM, including splitting the role as President into two, with Bob Fisher being appointed as President and James Grigg becoming Chair of Trustees and assuming all of John Poore's executive responsibilities.

The Trustees continue to consider the effectiveness of our corporate governance to ensure there is best possible structure to meet the challenges of the future. As part of this, the Trustees are currently reviewing the composition of the Trustees and how new Trustees are appointed. This is expected to lead to the appointment of a number of new Trustees and will also see the retirement of some of the existing Trustees. In light of this, both Kristian Martin and Caroline Artis are both retiring at the forthcoming AGM and are not seeking re-election.

Kristian has been a Trustees for 6 years during which time he has also served as captain of the 1st XI. He has shown a huge commitment to the Club, both on and off the field, and the Trustees are very pleased that he will continue to be involved with the Club on the playing field. Caroline joined as a Trustee in 2019, having been involved in our Junior section for many years, and, as a Trustee, she has continued to make a substantial contribution, in particular to our consideration of matters related to corporate governance, where she has extensive experience, but also as a key member of the teams organising the Club’s 150th Anniversary celebrations and the successful funding project for our new nets.

The Trustees are extremely grateful to both Kristian and Caroline for their excellent service as Trustees.

As above, the Trustees are currently reviewing the composition of the Trustees and it has been decided not to make any new appointments until this review is complete. Any new appointments will be subject to election by members at the next year’s AGM.

As required by the Articles of Association, Bob Fisher and James Grigg will retire by rotation at the 2023 AGM and will also offer themselves for re-election.

Following the 2023 AGM, the Board of Trustees is proposed to be comprised as follows:

  • Bob Fisher – President
  • James Grigg – Chair of Trustees and Secretary
  • Mark Grafton – Treasurer
  • Penny Lewis – Club Safeguarding Officer
  • Martin Turner
  • Colin Wheeler

Member’s Subscriptions

The subscription rates for 2023 for each category of membership have been increased from last year and are set out below. The Club’s results for 2021/22 were impacted by a number of significant one off items, including substantial insurance receipts and nets donations and the repair of subsidence damage to, and the refurbishment of, the Pavilion, and the underlying financial performance is of some concern. Given the current economic situation, the Trustees believe that it is prudent to increase subscriptions again at this time.
